These Terms of Service ("Terms") govern your access to and use of ChatBatt ("the Service"), provided by ChatBatt ("we", "our", "us"). By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility & account
You must be at least 18 years old and authorized to bind the business you represent. You are responsible for the accuracy of your account information, the security of your credentials, and all activity that occurs under your account.
2. The Service
ChatBatt provides a software platform that integrates with the official WhatsApp Business Platform to deliver team inbox, automation, bookings, order management, and analytics features. The Service is provided on a subscription basis as described in your plan.
3. Acceptable use
You agree to use the Service only for lawful purposes and in compliance with these Terms, Meta's WhatsApp Business Messaging Policy, and all applicable laws. You will not:
- Send unsolicited messages, spam, or content that violates WhatsApp policies.
- Use the Service for harassment, fraud, hate speech, sexual content, or illegal activity.
- Attempt to bypass security measures, scrape data, or reverse engineer the Service.
- Resell, sublicense, or expose the Service as a competing product without written consent.
- Upload viruses, malware, or content that infringes intellectual property rights.
Violations may result in suspension or termination, including loss of access to your WhatsApp Business Account.
4. Customer data & consent
You represent and warrant that you have obtained all consents required by law to message your customers on WhatsApp, including opt-ins for marketing where applicable. You are the data controller of customer conversations; ChatBatt processes them as your data processor under our Privacy Policy.
5. Fees & billing
Subscription fees are billed in advance and are non-refundable except as required by law. Our Free tier is available without payment and may be used indefinitely subject to the usage limits published on the pricing page. Promotional discounts (including any early-bird offers) apply for the term stated at signup and are non-transferable. We may change pricing with at least 30 days' notice. WhatsApp conversation-based fees charged by Meta are passed through at cost.
6. Cancellation
You may cancel your subscription at any time from your account dashboard. Cancellations take effect at the end of the current billing period. You remain responsible for any charges incurred prior to cancellation.
7. Intellectual property
ChatBatt and all related logos, software, and content are owned by us or our licensors. We grant you a non-exclusive, non-transferable, revocable license to use the Service for the duration of your subscription. You retain all rights to the data you upload.
8. Third-party services
The Service interoperates with third-party platforms, primarily the WhatsApp Business Platform operated by Meta. Your use of those platforms is subject to their respective terms. We are not responsible for outages or actions taken by third-party providers.
9. Service availability
We target 99.9% monthly uptime measured across a rolling 12-month window. Scheduled maintenance and force majeure events are excluded. Service-level remedies, if any, are described in your applicable order form.
10. Warranty disclaimer
The Service is provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.
11. Limitation of liability
To the maximum extent permitted by law, ChatBatt's aggregate liability arising from or relating to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the event giving rise to the claim. In no event shall ChatBatt be liable for indirect, incidental, special, consequential, or punitive damages.
12. Indemnification
You agree to indemnify and hold harmless ChatBatt, its officers, employees, and partners from any claim arising out of your breach of these Terms, your misuse of the Service, your customer messages, or your violation of any law or third-party right.
13. Termination
We may suspend or terminate your access immediately if you breach these Terms, fail to pay fees, violate Meta's policies, or for any reason on 30 days' notice. Upon termination, your right to use the Service ceases and we may delete your data after a reasonable retention period.
14. Governing law & disputes
These Terms are governed by the laws of the Islamic Republic of Pakistan, without regard to conflict-of-law principles. Disputes shall be resolved by the competent courts of Rawalpindi, Pakistan, unless required otherwise by mandatory local law.
15. Changes to these Terms
We may update these Terms periodically. Material changes will be communicated through the Service or by email. Continued use after changes take effect constitutes acceptance.
